These Terms of Service ("Terms") govern your access to and use of the Sunny platform ("Service") operated by Solantex Holdings LLC, a Colorado limited liability company ("Solantex," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and Solantex.
"Account" means a registered account on the Sunny platform associated with a business entity or individual.
"User" means any individual who accesses the Service using credentials associated with an Account, including account owners and team members.
"Content" means any information, data, text, or other material submitted to or generated by the Service.
"AI Output" means any response generated by the artificial intelligence components of the Service.
"Subscription" means a paid or trial access arrangement to the Service.
"Connected Integration" means any third-party platform, service, or application that you authorize to share data with the Service, including but not limited to Jobber, John Deere Operations Center, QuickBooks, PartsTech, Amazon, Rain Bird, and any other platform connected through the Service's integration framework.
"Integration Data" means any data retrieved from a Connected Integration on your behalf, including but not limited to client records, job history, equipment telemetry, financial records, inventory, and scheduling data.
You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your business to create an Account. By registering, you represent and warrant that all information you provide is accurate and that you have the authority to bind any business entity on whose behalf you register.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account. You must notify us immediately of any unauthorized access to your Account.
The Service allows you to connect third-party platforms and services ("Connected Integrations") to enhance Sunny's responses with your operational data. By authorizing a Connected Integration, you grant Solantex permission to access, retrieve, and process data from that platform on your behalf, solely to provide the Service to you.
You represent and warrant that you have the authority to authorize any Connected Integration you connect, and that doing so does not violate the terms of service of the connected third-party platform. You are solely responsible for ensuring your use of Connected Integrations complies with the applicable third-party platform's terms.
Integration Data retrieved from Connected Integrations is used solely to generate AI responses within your active session. Integration Data is not permanently stored beyond what is necessary to maintain session continuity and provide the Service. Integration Data is never sold, shared with third parties, or used to train AI models.
The scope of data accessed from each Connected Integration is limited to what you specifically authorize during the connection process. You may revoke access to any Connected Integration at any time through your account settings, or directly through the third-party platform's authorization management.
Your use of Connected Integrations remains subject to the terms and conditions of the respective third-party platform. Solantex is not responsible for the availability, accuracy, or conduct of any third-party platform. Changes to a third-party platform's API, terms, or availability may affect the functionality of Connected Integrations without notice.
The Jobber integration is provided subject to Jobber's terms of service and platform policies. By connecting your Jobber account, you authorize Sunny to read client records, job data, quotes, requests, invoices, scheduling, and related data from your Jobber account. Sunny does not write data back to Jobber without your explicit action. Jobber integration data is used solely to respond to your queries within the Service.
The John Deere Operations Center integration is provided subject to John Deere's platform terms. By connecting your John Deere account, you authorize Sunny to read equipment telemetry, engine hours, fault codes, machine alerts, locations, and related operational data from your connected equipment. This data is used solely to provide equipment intelligence responses within the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
The following conduct is strictly prohibited and constitutes a material breach of these Terms:
You may not share, sell, transfer, or otherwise provide your account credentials to any individual or entity not authorized under your Subscription plan. Each Subscription plan specifies the maximum number of authorized users and concurrent sessions. Permitting use of the Service beyond these limits constitutes a material breach and will result in immediate account suspension without refund.
You may not reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying algorithms, model weights, prompt structures, system architecture, or any other proprietary components of the Service. You may not use automated tools, scripts, bots, or any other means to scrape, extract, mirror, or replicate the Service or its outputs in bulk.
You may not resell, sublicense, rent, lease, or otherwise commercially exploit access to the Service without a separate written white-label or reseller agreement executed by Solantex. Providing access to the Service to third parties in exchange for compensation, or incorporating the Service into a competing product, is strictly prohibited without prior written authorization.
You may not use the Service to develop, train, or improve any competing artificial intelligence system, product, or service. You may not systematically extract, collect, or harvest data from the Service for any purpose other than your own internal business operations.
You may not represent AI Output as the opinion, advice, certification, or recommendation of a licensed professional, including but not limited to licensed engineers, mechanics, contractors, agronomists, or medical professionals. AI Output is provided for informational and reference purposes only.
You may not use the Service to access Integration Data from third-party platforms for any purpose other than your own legitimate business operations. You may not use the Service to access third-party platform data belonging to accounts you do not own or have explicit authority to access.
The Service uses artificial intelligence to generate responses. AI Output is provided for informational and reference purposes only and does not constitute professional advice of any kind, including legal, financial, engineering, agronomic, mechanical, or medical advice. Solantex makes no warranty that AI Output is accurate, complete, current, or fit for any particular purpose.
You assume full responsibility for any decision made based on AI Output. You should independently verify any AI Output before relying on it for safety-critical, compliance-related, financial, or high-stakes decisions. Solantex is not liable for any loss, damage, injury, or liability arising from your reliance on AI Output.
The Service, including all software, algorithms, models, prompt structures, designs, trademarks, and content created by Solantex, is the exclusive intellectual property of Solantex Holdings LLC. Nothing in these Terms grants you any ownership interest in the Service or its components.
You retain ownership of any business data, catalogs, or content you upload to the Service. By uploading content, you grant Solantex a limited, non-exclusive license to process and store that content solely to provide the Service to you. Solantex does not use your uploaded content or Integration Data to train AI models.
The "Sunny" name, the Solantex name and mark, and all associated product names and logos are trademarks of Solantex Holdings LLC. You may not use these marks without prior written consent.
Subscriptions are billed in advance on a monthly or annual basis through our payment processor. Your Subscription renews automatically at the end of each billing period unless cancelled before renewal. All fees are non-refundable except as expressly provided in these Terms or required by applicable law.
We reserve the right to change pricing with 30 days notice to your account email address. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
Annual plan refunds: if you cancel an annual Subscription, you may be eligible for a pro-rata refund of unused complete months at Solantex's sole discretion.
Where a free trial is offered, you must provide valid payment information to begin the trial. Your payment method will be charged automatically at the end of the trial period unless you cancel before the trial ends. Solantex reserves the right to determine trial eligibility and to terminate trials at any time.
You may cancel your Subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.
Solantex may suspend or terminate your Account immediately, without notice or refund, if you:
Upon termination, your right to access the Service ceases immediately. Account data is retained for 90 days following cancellation and then permanently deleted. Data is retained for 30 days following a termination for cause. Connected Integration authorizations are revoked upon account termination.
To the maximum extent permitted by applicable law, Solantex's total cumulative liability to you for all claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to Solantex in the 90 days immediately preceding the claim.
In no event shall Solantex be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, business, or goodwill, even if Solantex has been advised of the possibility of such damages.
Solantex is not liable for any loss, damage, or disruption arising from the unavailability, inaccuracy, or changes to any Connected Integration or third-party platform, including but not limited to Jobber, John Deere, QuickBooks, PartsTech, or Amazon.
You agree to indemnify, defend, and hold harmless Solantex Holdings LLC, its members, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you submit to the Service; or (e) your use of Connected Integrations in violation of applicable third-party platform terms.
The Service is provided "as is" and "as available" without warranty of any kind. Solantex expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Solantex does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising from or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.
Before initiating any legal proceeding, you agree to provide Solantex with written notice of the dispute and a 30-day opportunity to resolve it informally.
Solantex reserves the right to modify these Terms at any time. Material changes will be communicated to your account email address with at least 30 days notice before the effective date. Non-material changes may take effect immediately upon posting. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
These Terms, together with the Privacy Policy and any Subscription order or white-label agreement, constitute the entire agreement between you and Solantex regarding the Service and supersede all prior agreements, representations, and understandings.
